Independent Service Retail Operations

Acquisition, operation, and orderly transition of small independent service retail businesses in mature and contracting sectors: dry cleaning and laundry drop, small appliance and vacuum repair, television and electronics repair, shoe repair, sewing machine sales and service, tailoring and alterations, key cutting and locksmithing, camera and photographic services, and media rental.

These sectors share a structure. They are typically sole proprietorships or single-family partnerships; the operator holds the technical skill personally and has not documented it; the customer base is older than the general population and does not replace itself; the equipment is out of manufacturer support; the premises are leased in a strip center at a rent set decades ago; and the business has more value to its customers than to a buyer.

The certificate does not represent that these sectors are growing. It prepares a student to operate one competently, to know what it is worth, and to close it correctly if that is the right answer.

ISR 110 — Valuation and Acquisition of a Mature Small Business (3 cr.) Seller's discretionary earnings, add-backs, the multiples actually paid in these sectors, inventory and equipment valuation at liquidation rather than replacement, goodwill that does not transfer, seller financing, and the transition period during which the seller's knowledge is the asset being purchased.

ISR 130 — Operations in a Contracting Sector (3 cr.) Pricing when volume is falling, minimum viable hours, the arithmetic of remaining open on a slow day, sole-proprietor dependency and cross-training, customer base age analysis, and the decision to specialize or to broaden.

ISR 150 — Equipment Obsolescence and Parts Sourcing (3 cr.) Maintaining equipment past manufacturer support: salvage and donor units, aftermarket and fabricated parts, the point at which a repair exceeds the value of the machine, and documenting a machine so that someone other than the operator can service it.

ISR 170 — Unclaimed Property and Repair Liens (3 cr.) The disposition of customer property left in the operator's possession. Notice requirements, holding periods, the mechanic's and artisan's lien, sale procedure and the accounting owed to the customer, unclaimed funds reporting to the Ohio Department of Commerce, and the handling of property whose owner is deceased or cannot be located.

ISR 190 — Environmental and Premises Due Diligence (3 cr.) Phase I environmental site assessment and when a Phase II is indicated; the specific liability attaching to former and operating dry cleaning sites from chlorinated solvent releases, and Ohio's dry cleaning remediation program; underground storage tanks; asbestos and lead in older strip commercial buildings; and lease assignment, estoppel, and the successor liability a buyer assumes.

ISR 210 — Transition, Wind-Down and Asset Disposition (3 cr.) Orderly closure: notice to customers with property on hand, employee obligations, lease termination and surrender condition, inventory liquidation and auction, equipment disposal including refrigerant and solvent-bearing equipment, final tax and licensing filings, records retention after closure, and dissolution.

Students frequently enroll because they have inherited or expect to inherit a business. The Division has observed this since the proposal was developed and has structured the sequence so that ISR 110 and ISR 210 may be taken first and independently.
